Confidentiality Agreement definition

Normally a legal contract signed by an employee that prevents them disclosing sensitive information revealed to them during the course of their employment.

Designed to protect a company’s competitive advantage, intellectual property and future innovations, confidentiality agreements are sometimes referred to as non-disclosure agreements (NDAs) or proprietary information agreements (PIAs).

Confidentiality agreements are also designed to offer protection against disgruntled employees and ex-employees by offering legal consequences to spreading the protected information.

While they are common between employer and employee, confidentiality agreements are also used between business partners and clients and potential vendors.
